VALA Founder Pass — Terms of Purchase & Use

1. Overview

The VALA Founder Pass ("Pass") is a limited digital collectible created by VALA Labs Ltd. ("VALA," "we," "our," or "us") to recognize and reward the earliest believers in the VALA movement.

By purchasing or holding a Pass, you agree to these Terms of Purchase & Use ("Terms").

The Pass represents membership, access, and recognition — not an investment, equity, or security of any kind.

2. Purpose of the Pass

Each Pass is designed to celebrate and connect early supporters of VALA.

Holding a Pass may grant benefits such as:

• Founder-only access to select community channels and experiences.
• Early insight into upcoming products and cultural drops.
• Commemorative digital art and recognition within the VALA ecosystem.
• Eligibility for tier-based future rewards, as described below.

The Pass is primarily a collectible and community credential, not a financial instrument.

3. Future Rewards & $VALA Recognition

VALA Labs intends to recognize Founder Pass holders for their early belief and contribution as the ecosystem evolves.

Each Pass tier corresponds to eligibility for future $VALA-linked recognition or equivalent digital rewards, to be distributed at VALA's discretion and in accordance with applicable law.

Such rewards are designed to acknowledge participation, not to offer profit or investment return.

All future distributions, if any, will:

• Be based on tier, engagement, or contribution;
• Be administered solely by VALA Labs;
• Be subject to modification, delay, or substitution if required for regulatory or operational reasons.

Purchasing a Pass therefore provides eligibility, not entitlement, to any future reward or allocation.

4. Ownership & Use

Pass holders receive a personal, non-commercial license to display and use their Pass artwork and associated content.

Passes are intended for participation in VALA's ecosystem and may not be used for speculative trading or resale where prohibited.

VALA may, at its discretion, suspend benefits or utilities if misuse or fraudulent activity is detected.

6. Intellectual Property

All VALA trademarks, logos, designs, artwork, and technology remain the exclusive property of VALA Labs Ltd.

Pass ownership does not grant any rights to VALA's underlying intellectual property or brand usage beyond personal display.

7. Compliance & Eligibility

You must be at least 18 years old and reside in a jurisdiction that permits participation in digital collectible programs.

You are solely responsible for ensuring compliance with your local laws regarding digital assets.

8. No Investment Intent

The VALA Founder Pass is not an investment product.

It carries no expectation of profit derived from the efforts of VALA or others.

It exists to recognize early community members who believe in the mission of merging culture, creativity, and finance through technology.

9. Limitation of Liability

To the fullest extent permitted by law, VALA Labs Ltd. and its affiliates shall not be liable for any indirect, incidental, or consequential damages arising from Pass ownership or use, including but not limited to loss of value, data, or access.

10. Amendments

VALA may modify these Terms at any time. Updated versions will be posted on the official mint website and take effect upon publication.

Continued holding or use of the Pass indicates acceptance of the revised Terms.
